KSARD TERMS OF SERVICE:
 

Fees:
All KSARD LLC services require a non-refundable 50% down payment with the remaining balance due on the date of completion and before any works are to be published via web.

Bartering:
KSARD LLC is a fully licensed company where monetary payment is required. NO exceptions

Website Templates: Customers will be charged a $30 per hour fee for customization of website templates purchased from outside vendors. Customers are not to assume that templates are a quick cheap fix to obtaining a website. Customizing templates can take just as long as building one’s from scratch being that templates are created as an “as is” product, therefore there will be time spent in Photoshop, Flash, and Dreamweaver to edit coding and personalized pictures. No exceptions are made for template fees.

Referral For Service:

Any clients referred to KSARD LLC, automatically becomes a KSARD client. KSARD will not provide services for other companies where credit and payment are given or split to competing companies.

Site maintenance
Website maintenance requires a $25 per hour fee. This charge is applied to FINISHED websites, which only involves simple updates i.e. content or pictures. If the client changes his or her mind about the look and feel of the site and request a complete change after the web site is complete, requiring KSARD LLC to return to Photoshop/Fireworks editing, from scratch, the client will be charged on a “new client” basis, therefore, to prevent this, it is prudent to be “certain” about the interface design before the site is sliced and before publication.

Photography Contract
All Photography clients are required to sign a separate contract and release form.

Deadlines:
Client must understand that KSARD LLC is dedicated to completing projects on time as requested on the initial start up date. To prevent prolonging the publishing of a website or any multimedia design, client must understand that there will be a required MAXIMUM of three changes to the interface design before it is sliced in Fireworks or Photoshop. Please do not expect KSARD LLC to complete projects by a particular date if there are constant changes being made throughout the design phase by the client.

Contract and Payments:
All KSARD, LLC clients will be required to sign a contract and pay the 50% non-refundable down payment before any work will begin. No thumbnails, sketches, ideas will be done until payment and agreement is received.

KSARD, LLC Credit
Client agrees to not alter or change credit of the designer (KSARD, LLC) on the web site unless he or she has decided to go with another design company that has redesigned the site completely. No credit for
KSARD, LLC designs will be given to other persons and/or companies.

Website Credit Exceptions:
If the client decides to take on another designer to maintain the initial site, then the new designer will place their company as the “maintaining” party.

Ex. * Web Site Design by KSARD, LLC l Maintained by “Design Company Name”

Selling Merchandise and Profits:
Client agrees to not sell products or merchandise in the name of
KSARD, LLC. All merchandise sold is in FULL responsibility to the site owner (the assigned).

Site Content /Text and Images:
All clients are required to have all of his/her content finalized and ready at the beginning of the design phase. KSARD, LLC is not responsible for proofreading any content. All text will only be highlighted, cut and pasted onto the page as written by the site owner.  Clients are to ensure providing detailed information about the features wanted on the website. If in the process of beginning the website a client begins to add on extra request other than mentioned at the beginning questionnaire phase of service, there will be a $25 per hour fee tagged onto the price package. Consistent changes throughout a project only prolongs the design phase, so please be sure to state exactly what you want in the beginning on the client questionnaire.

All Images are to be provided by E-mail, DVD-R, CD-R or in color printed format for KSARD, LLC to scan. If the client (the assigned) is in need of additional photography services, there will be an additional charge.

Photographic Publishing.
All photography taken by KSARD LLC that is published in either magazines, web, or any medium MUST receive written permission from KSARD LLC, as well as credit within or under the picture. Any publishing of KSARD LLC photography without permission will result in copyright infringement and legal action WILL be taken.

Copyrights and Trademarks.
The client represents to KSARD, LLC and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to KSARD, LLC for inclusion in webpage’s are owned by the client, or that the client has permission from the rightful copyright owner to use each of these elements, and will hold harmless, protect, and defend KSARD, LLC services and its subcontractors from any claim or suit arising from the use of such elements furnished by the client.

Music & Video: Snippets and Full Recordings. KSARD, LLC will not infringe on copyright law’s pertaining to the use illegally downloaded video or sound recordings owned my major or minor record labels, film companies and/or artists. If client wishes to use any copyright owned music, the client MUST gain prior permission in writing from the owner of the sound recording and attach it to this contract. If client has music and/or video footage that requires compression and/or editing, there will also be an additional $100 fee add to the total cost of package.

Hosting and Domain:
The site owner is responsible for keeping up payments for hosting and domain cost. KSARD, LLC holds no responsibility of missed payments, therefore if the client misses a payment and the site is shut down, KSARD, LLC will not be held liable.

Web Hosting. The client understands that any web hosting services require a separate contract with a chosen web hosting company. The client agrees to select a web hosting service which allows KSARD, LLC full access to the website and a cgi-bin directory via FTP and telnet.

Assignment of Project. KSARD, LLC reserves the right to assign subcontractors to this project to insure the right fit for the job as well as on-time completion. KSARD, LLC, will notify client beforehand, if needed.

Laws Affecting Electronic Commerce. From time to time governments enact laws and levy taxes and tariffs affecting Internet electronic commerce. The client agrees that the client is solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend KSARD, LLC and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the client's exercise of Internet electronic commerce.

Copyright to Webpage’s. Copyright to the finished assembled work of webpage’s produced by
KSARD, LLC is owned by KSARD, LLC. Upon final payment of this contract, the client is assigned rights to use as a website the design, graphics, and text contained in the finished assembled website. Rights to photos, graphics, source code, work-up files, and computer programs are specifically not transferred to the client, and remain the property of their respective owners. KSARD, LLC and its subcontractors retain the right to display graphics and other Web design elements as examples of their work in their respective portfolios.
